1. Acceptance of Terms

By accessing or using PricZone Services, including our website, mobile experiences, content, products, software, features, and related services (collectively, the “Services”), you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional policies or guidelines posted on the site. If you do not agree to these Terms and Conditions, do not access or use the Services.

These Terms and Conditions constitute a binding agreement between you and PricZone. If you use the Services on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms and Conditions.

2. Privacy Policy

Our Privacy Policy describes how we collect, use, disclose, and protect personal information and is incorporated into these Terms and Conditions by reference. By using the Services, you acknowledge that you have reviewed and understand our Privacy Policy.

3. Electronic Communications

When you visit PricZone, create an account, place an order, or contact us by email, text message, chat, or other electronic means, you consent to receive communications from us electronically to the extent permitted by applicable law. You agree that electronic communications, notices, disclosures, agreements, and records satisfy any legal requirement that such communications be in writing.

You are responsible for maintaining accurate contact information and for reviewing communications we send regarding your account, orders, returns, disputes, fraud reviews, security issues, and updates to our policies.

4. Eligibility, Site Use, and Prohibited Conduct

You may use the Services only in compliance with applicable law and only for lawful purchasing, browsing, or informational purposes. You may not use the Services if doing so would violate any applicable law, regulation, court order, or third-party right.

Without limiting the foregoing, you agree not to: misuse the Services; engage in fraud; impersonate any person or entity; interfere with site security or functionality; introduce malware or harmful code; scrape, crawl, harvest, copy, or data-mine content, pricing, or product information; use bots or automated means without our prior written consent; attempt to bypass access restrictions; or use the Services for resale, commercial exploitation, or competitive analysis without our prior written consent.

We reserve the right to monitor use of the Services and to suspend, restrict, cancel, or terminate access, orders, accounts, or transactions at any time, with or without notice, where we believe in our sole discretion that misuse, fraud, abuse, unlawful conduct, or risk to PricZone, our users, or third parties may exist.

5. Copyright and Trademarks

All content included in or made available through PricZone Services, including text, graphics, logos, icons, images, videos, audio, downloads, software, product compilations, page layouts, and other materials, is the property of PricZone, its affiliates, licensors, or content suppliers and is protected by applicable intellectual property laws.

PricZone names, logos, marks, trade dress, and service names may not be used in connection with any product or service that is not PricZone’s or in any manner likely to cause confusion, disparagement, or dilution. All other trademarks appearing on the Services are the property of their respective owners.

6. License and Access

Subject to your compliance with these Terms and Conditions, PricZone grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and make personal, non-commercial use of the Services. This license does not include any resale or commercial use of the Services or their contents; any collection or use of product listings, descriptions, images, or prices; any derivative use of the Services; or any use of data mining, robots, scraping tools, or similar data-gathering technologies.

You may not reproduce, duplicate, copy, sell, resell, frame, mirror, republish, distribute, modify, reverse engineer, decompile, disassemble, or otherwise exploit any portion of the Services except as expressly permitted in writing by PricZone. All rights not expressly granted are reserved by PricZone.

7. Your Account

You may be required to create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials, restricting access to your devices, and for all activities conducted under your account, whether authorized by you or not, to the fullest extent permitted by law.

You agree to provide current, complete, and accurate information and to update it as necessary. PricZone reserves the right to refuse service, refuse or cancel orders, require additional verification, suspend accounts, terminate accounts, remove content, or restrict access in its sole discretion.

8. Reviews, Comments, and Other Content

Users may submit reviews, comments, suggestions, questions, images, videos, and other content so long as the content is not unlawful, fraudulent, false, misleading, obscene, threatening, harassing, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise objectionable. You may not submit content containing malware, spam, mass solicitations, political campaigning, or deceptive endorsements.

By submitting content to PricZone, you grant PricZone and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable right and license to use, host, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise exploit such content in any media. You represent and warrant that you own or control all rights in the content you submit and that your content does not violate these Terms and Conditions or any law or third-party right. Private purchase, ownership, identity, or verification evidence submitted solely for the Survey Review program is governed by Section 9 below and is not treated as public-facing review content unless you separately and expressly authorize public use.

PricZone has the right, but not the obligation, to monitor, edit, remove, refuse, or disable content at any time and for any reason. PricZone assumes no responsibility or liability for user-submitted content.

9. Survey Reviews, Review Opportunities, Verification Evidence, and Survey Credits

Survey Review program. PricZone may offer voluntary product Review Opportunities that allow eligible users to submit first-hand Survey Reviews. Survey Reviews are displayed separately from PricZone order reviews and may be submitted by people who obtained the product from PricZone, another retailer or marketplace, as a gift, used, or through another permitted source, provided the participant actually owns or has personally used the product and satisfies the applicable verification requirements.

Incentives and rating neutrality. Some Review Opportunities may offer PricZone Survey Credits or another clearly disclosed incentive. The exact offer, eligibility rules, limits, and any video bonus are stated on the applicable Review Opportunity or survey. An incentive is offered for eligible, honest, first-hand participation and is not conditioned on the review being positive, favorable, five-star, or recommending the product. A negative, neutral, or positive review is subject to the same eligibility and authenticity standards. PricZone does not promise or award additional compensation for favorable sentiment and does not withhold an otherwise earned incentive solely because a qualifying review is unfavorable.

Ownership and purchase verification. PricZone may require evidence that you own, purchased, possessed, or personally used the product. Depending on the Review Opportunity, acceptable evidence may include a matching PricZone order, a redacted receipt, invoice, order-confirmation image, retailer or marketplace information, approximate purchase date, product model or variation, a possession-challenge photograph, supporting ownership information, or other reasonable evidence. You agree that all evidence you provide is genuine, relates to the product being reviewed, and has not been fabricated, materially altered, stolen, or submitted without authority. You must redact payment-card data, full account numbers, unnecessary addresses, unrelated purchases, and other sensitive information that is not needed for verification.

Authorization to use verification evidence. By voluntarily submitting purchase, ownership, possession, or authenticity evidence, you authorize PricZone and its service providers acting on PricZone’s behalf to receive, upload, host, store, encrypt, process, inspect, compare, validate, analyze, and retain that evidence and related metadata for Survey Review eligibility, authenticity verification, fraud prevention, moderation, Survey Credit and reward administration, duplicate detection, security, customer support, disputes, chargebacks, audits, recordkeeping, and legal or regulatory compliance. You authorize PricZone to use the result of that verification within the Services and to display a non-sensitive verification status or generalized acquisition source, such as that ownership was verified or that the product was obtained from PricZone or another permitted source.

Private evidence is not public review content. Unless you separately and expressly authorize otherwise, PricZone will not publicly display your actual receipt, invoice, order-confirmation document, private ownership record, street address, payment information, full order number, or other sensitive verification material as part of the public review. Private verification evidence may remain available to authorized PricZone personnel for the purposes described above and may be retained for a reasonable period needed for fraud prevention, disputes, audits, backups, legal obligations, and enforcement of these Terms, subject to the Privacy Policy and applicable law.

Review text, photos, and videos. Review text and public-facing photos you submit through the Survey Review program are user content subject to the license in Section 8. A video submitted only as private Video Proof may be used privately for authenticity, ownership, moderation, reward, security, dispute, and audit purposes and will not be displayed publicly unless you separately grant public-video permission and PricZone approves it for public display. If you grant public-video permission, you authorize PricZone to host, reproduce, transcode, create a poster or thumbnail from, display, stream, distribute, and otherwise use the approved video with the related review as described in these Terms and the Privacy Policy. PricZone may remove, disable, retain, or restore review media as reasonably necessary for moderation, legal compliance, dispute handling, security, retention rules, or customer-request workflows.

Moderation and publication. PricZone may reject, remove, hold, or request replacement of Survey Reviews or supporting materials that are fraudulent, duplicated, copied, AI-generated where prohibited, stock content, materially manipulated, abusive, defamatory, irrelevant, misleading, not based on first-hand use, unverifiable, unsafe, infringing, or otherwise inconsistent with these Terms or posted Review Opportunity rules. Moderation is not used to require a favorable rating. PricZone may preserve non-public audit records of moderation, consent, evidence status, credits, reversals, and related activity even if public content or private files are later removed, where reasonably necessary for security, accounting, fraud prevention, dispute resolution, compliance, or legal obligations.

Survey Credits and rewards. Survey Credits are promotional account credits or reward units and are not cash, wages, stored funds, or a deposit account. Survey Credits may be subject to eligibility requirements, approval, release delays, account and site limits, expiration, redemption thresholds, availability of reward options, fraud controls, and other posted rules. A submission does not guarantee an award. PricZone may deny, hold, reverse, cancel, or correct Survey Credits or related rewards when a submission is ineligible, fraudulent, duplicated, reversed, deleted, unsupported by required evidence, issued in error, or otherwise violates applicable rules, provided that a reversal is not based solely on whether an otherwise qualifying review is positive, neutral, or negative.

Disclosure and review labeling. PricZone may label a review as a Survey Review, Incentivized Survey Review, ownership verified, purchase verified, or with another accurate disclosure describing the review source, incentive, or verification result. PricZone may also provide accurate review metadata, including incentive status, to search engines, product-review services, analytics providers, or other services if PricZone elects to use such services and such sharing is permitted by applicable law and the Privacy Policy. Participation in the Survey Review program does not require you to post a review to a third-party business-review profile or other platform that prohibits incentivized reviews.

Acceptance record. When the survey form requires you to accept these Terms and Conditions and the Privacy Policy, PricZone may record the date and time of acceptance, the applicable terms-version marker, the legal-page URLs presented to you, your account or submission identifiers, and the exact acknowledgement text shown at submission. These records may be used to administer the program, document consent, resolve disputes, investigate abuse, and demonstrate compliance.

No employment or agency relationship. Participation in a Review Opportunity does not create an employment, contractor, agency, partnership, fiduciary, or representative relationship between you and PricZone. You are responsible for the truthfulness, legality, and ownership of the content and evidence you submit.

10. Orders, Pricing, Availability, and Acceptance

All orders placed through PricZone are offers to purchase and are subject to acceptance by PricZone. We may, in our sole discretion, refuse, limit, cancel, or decline any order or quantity for any lawful reason, including suspected fraud, suspected resale activity, pricing or listing errors, product unavailability, payment issues, shipping restrictions, or errors in product or account information.

An order confirmation, payment authorization, or automated email does not constitute final acceptance of an order. PricZone reserves the right to correct errors and to revoke or cancel accepted or pending orders arising from inaccuracies, system issues, misuse, or suspected abuse.

Prices, product selections, specifications, promotions, availability, and estimated ship or delivery dates are subject to change without notice. We do not guarantee that any product will be available at the time of order, shipment, or delivery.

11. Payment Authorization and Billing

By submitting payment information, you represent and warrant that you are authorized to use the designated payment method and authorize PricZone and its third-party payment processors to charge the full amount of your order, including product price, taxes, shipping charges, surcharges, restocking fees, return-shipping charges, and any other disclosed fees or adjustments permitted by law.

If a payment method is declined, reversed, charged back, or otherwise fails, we may cancel the order, suspend fulfillment, recover amounts owed, offset refunds, or require alternative verified payment before shipment or release of goods. You agree to pay all amounts due, including reasonable collection costs, chargeback fees, and attorneys’ fees where permitted by law.

12. Fraud Prevention and Transaction Review

PricZone may use internal controls and third-party fraud prevention, identity verification, and transaction review services, including current or future fraud-review providers, to assess transaction risk, verify identity, validate order information, and help prevent unauthorized or fraudulent activity. By placing an order, you authorize PricZone to obtain, use, analyze, and share order, device, account, payment, shipment, and related transaction data with such providers as permitted by our Privacy Policy and applicable law.

PricZone may delay, hold, cancel, refuse, or require additional documentation for any order flagged for review or suspected of fraud, abuse, or unauthorized activity. PricZone shall have no liability for any delay, rejection, cancellation, or loss arising from fraud-prevention measures, identity verification, or risk-based review decisions.

13. Payment Processing with Third-Party Providers

PricZone may use one or more third-party payment processors, gateways, merchant acquirers, and related service providers, including Authorize.net or successor providers, to process payments securely. Your payment transaction may be subject to the applicable terms, conditions, and privacy practices of those third-party providers.

PricZone does not control and is not responsible for the independent acts, omissions, outages, delays, security events, or processing decisions of third-party payment providers, except as otherwise required by law. Payment authorization does not guarantee order acceptance, pricing validity, stock availability, or shipment.

14. Shipping, Delivery, Title, and Risk of Loss

Unless otherwise expressly stated by PricZone in writing, goods purchased from PricZone are made pursuant to a shipment contract. Title to goods and risk of loss pass to you upon our transfer of the goods to the carrier, except where otherwise required by applicable law or expressly stated in writing.

Delivery dates are estimates only and are not guaranteed. PricZone is not liable for carrier delays, weather events, supply chain issues, customs delays, address errors, porch piracy, refusal of delivery, or other events outside our reasonable control.

You are responsible for providing an accurate delivery address, ensuring safe receipt, and timely reporting any visible shipping damage, shortages, or delivery issues in accordance with our posted policies.

15. Returns, Refunds, Exchanges, and Restocking

Returns, refunds, exchanges, store credits, refusals, and restocking are governed by PricZone’s posted return, refund, and shipping-related policies, as updated from time to time, which are incorporated into these Terms and Conditions by reference. Eligibility for a return or refund may depend on product type, condition, packaging, accessories, serial number verification, return timing, manufacturer restrictions, signs of use, and compliance with our return instructions.

PricZone may refuse returns, reduce refunds, charge return shipping, deduct handling or restocking costs where legally permitted and disclosed, or deny claims involving abuse, altered products, missing components, damaged items, serial number mismatches, or returns inconsistent with our policies. Original shipping charges may be non-refundable except where required by law or expressly stated otherwise.

16. Product Descriptions, Compatibility, and Availability

PricZone attempts to be as accurate as reasonably possible with product descriptions, images, specifications, pricing, compatibility notes, and availability information. However, PricZone does not warrant that product descriptions, images, specifications, compatibility statements, pricing, inventory levels, manuals, packaging, or other content are accurate, complete, reliable, current, error-free, or fit for your intended purpose.

Colors, packaging, model numbers, firmware, accessories, regional variants, and included items may vary from images or prior listings. It is your responsibility to confirm product suitability, compatibility, legal use, and manufacturer requirements before purchase.

17. Promotions, Coupons, and Pricing Errors

Promotions, discounts, coupons, rebate offers, free-shipping offers, bundle offers, loyalty incentives, and limited-time pricing are subject to change, suspension, expiration, substitution, or cancellation at any time unless prohibited by law. Promotional offers may be limited by time, inventory, geography, account, product category, payment method, or other stated conditions.

PricZone reserves the right to correct typographical, pricing, promotional, tax, shipping, inventory, and other errors or omissions, and to cancel or refuse any order arising from such errors, even if the order has been submitted or your payment method has been charged. If a charge has already been processed for a canceled order, our sole obligation will be to issue the applicable refund or reversal.

18. Chargebacks and Fraudulent Activities

You agree not to initiate unwarranted chargebacks, payment reversals, false “item not received” claims, false “unauthorized transaction” claims, or any other abusive or fraudulent payment dispute. Where a dispute is initiated in error or in bad faith, PricZone may contest the dispute, submit transaction records and delivery evidence, suspend your account, decline future orders, and pursue all available legal and equitable remedies.

PricZone reserves the right to recover losses, fees, costs, chargeback penalties, returned merchandise losses, investigative costs, collection expenses, and attorneys’ fees to the fullest extent permitted by law. Fraudulent activity may be referred to law enforcement or appropriate regulatory authorities.

19. Third-Party Services and Links

The Services may reference, integrate with, or provide links to third-party websites, applications, content, logistics carriers, payment processors, fraud tools, manufacturers, marketplaces, or service providers. PricZone does not control and is not responsible for examining, endorsing, or warranting any third-party products, services, content, availability, practices, policies, or security.

Your dealings with third parties are solely between you and the third party, except where otherwise expressly stated by PricZone in writing. PricZone is not liable for any loss or damage arising from third-party acts, omissions, delays, failures, products, content, or services.

20. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, ALL CONTENT, AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, UNLESS EXPRESSLY STATED OTHERWISE IN WRITING. PRICZONE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SYSTEM INTEGRATION, AND NON-INFRINGEMENT.

PricZone does not warrant that the Services will be uninterrupted, secure, error-free, timely, or free of viruses or other harmful components, or that defects will be corrected. Some jurisdictions do not allow limitations on implied warranties, so certain disclaimers may not apply to you to the extent prohibited by law.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRICZONE, ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SUPPLIERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES, PRODUCTS, DELAYS, ORDER CANCELLATIONS, THIRD-PARTY SERVICES, OR THESE TERMS AND CONDITIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF PRICZONE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES, A PRODUCT, OR THESE TERMS AND CONDITIONS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PRICZONE FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100.00).

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless PricZone and its affiliates, owners, officers, directors, employees, contractors, licensors, suppliers, and agents from and against any claims, demands, actions, damages, judgments, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your breach of these Terms and Conditions; (b) your misuse of the Services; (c) your violation of any law or third-party right; (d) your user content; or (e) fraud, negligence, willful misconduct, or unauthorized activity associated with your account or transaction.

23. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THE SERVICES, ANY ORDER, ANY PRODUCT, OR THESE TERMS AND CONDITIONS SHALL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL CLAIMS COURT IF IT QUALIFIES.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision. Arbitration shall be administered by a reputable arbitration provider under its applicable consumer or commercial rules, as appropriate. The arbitration shall be conducted on an individual basis only, and not as a class action, collective action, private attorney general action, mass action, or other representative proceeding.

YOU AND PRICZONE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. Notwithstanding the foregoing, either party may seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction for misuse or infringement of intellectual property, confidential information, site security, or other rights requiring immediate protection.

Before commencing arbitration, the party seeking relief must provide written notice of the dispute and allow at least thirty (30) days for informal resolution. If any portion of this dispute resolution section is found unenforceable as to a particular claim or remedy, the remaining portions shall still apply to the fullest extent permitted by law.

24. Applicable Law and Venue

These Terms and Conditions, your use of the Services, and any dispute between you and PricZone shall be governed by and construed in accordance with the laws of the State of Texas and applicable federal law, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

To the extent a dispute is permitted to proceed in court rather than arbitration, you agree that exclusive venue and jurisdiction shall lie in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.

25. Site Policies, Modification, Severability, and No Waiver

Please review our other posted policies, including our Privacy Policy, return and refund policies, shipping policies, and any other notices or guidelines referenced on the site, all of which are incorporated into these Terms and Conditions where applicable. We reserve the right to change the Services, these Terms and Conditions, and any site policies at any time by posting updated terms on the site.

Your continued use of the Services after any changes become effective constitutes your acceptance of the revised terms to the fullest extent permitted by law. If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

No waiver by PricZone of any breach or right shall be deemed a waiver of any subsequent breach or right. These Terms and Conditions, together with any incorporated policies, constitute the entire agreement between you and PricZone regarding the Services, except where additional written terms expressly apply.
